Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MetroScale platform and websites (the "Service") provided by MetroScale ("MetroScale", "we", "us"), based in the State of Missouri, USA.

1. Acceptance of terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

MetroScale is a business operating platform for contracting businesses. The Service supports the job lifecycle end to end: lead and call intake, estimating and proposals, job mobilization and readiness gates, crew dispatch and field coordination (including by SMS), invoicing and payment tracking, vendor bill review, and an AI assistant that operates under the same commands and permissions as human users. The Service maintains an auditable record of actions taken on the platform.

You are responsible for your account, for maintaining the confidentiality of credentials, and for all activity by users you authorize. Each authorized user must have their own credentials. You must provide accurate account information and keep it current, and you must notify us promptly of any unauthorized use of your account.

You own your business data. The leads, estimates, proposals, job records, communications, and financial records you enter into or generate through the Service belong to you. You grant us the rights needed to host, process, transmit, and display that data solely to provide and support the Service, as described in our Privacy Policy. As between you and MetroScale, you are the controller of the personal information of your own customers, crews, and vendors that you process through the Service; we process it on your behalf and on your instructions. You are responsible for the accuracy and lawfulness of the data you submit and for obtaining any consents required from your own customers and personnel.

6. Electronic records and signatures

You consent to transact with us electronically, and you agree that electronic records of actions taken on the Service satisfy any requirement that communications or records be in writing. The Service can capture electronic approvals and acknowledgments — including text-message replies — as business records on your behalf. You are responsible for determining whether an electronic approval workflow you configure is legally sufficient for your purposes and your jurisdiction, and for including any required consent language in your own contracts with your customers.

7. AI assistant

The Service includes an AI assistant that can retrieve information and prepare actions. The assistant operates under the same permissions as your authorized users, and actions that change your business records require confirmation by a human user unless you have expressly configured otherwise. AI-generated content may contain errors; you are responsible for reviewing drafts before confirming them, and confirmed actions are your actions. The Service does not provide legal, accounting, tax, or professional advice.

8. SMS/text messaging terms

Program description. The Service sends and receives service-related conversational and transactional text messages between contractors, their customers, and field crews — for example appointment confirmations, job status updates, crew coordination messages, estimates, and invoices.

9. Fees and payment

Access to the Service may require payment of subscription or usage fees as set out in your order form or plan. Fees are billed in advance for each billing cycle, are payable as invoiced, and except as required by law are non-refundable. Fees exclude taxes, which you are responsible for where applicable. We may change pricing with at least thirty (30) days’ notice, effective at your next billing cycle. We may suspend the Service for accounts with overdue balances after reasonable notice.

10. Intellectual property

The Service, including its software, design, and documentation, is owned by MetroScale and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them without restriction or obligation.

11. Third-party services

The Service interoperates with third-party services — for example telecommunications carriers, payment processors, and accounting systems. Your use of a third-party service is governed by that provider’s terms, and we are not responsible for third-party services we do not control.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service provides tools and records; it does not provide legal, accounting, or professional advice, and you remain responsible for your business decisions and compliance obligations.

13. Limitation of liability

To the maximum extent permitted by law, MetroScale will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to the Service. Our total liability for all claims in any twelve-month period will not exceed the amounts you paid us for the Service in that period.

14. Indemnification

You will defend, indemnify, and hold harmless MetroScale and its officers, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys’ fees) arising out of (a) your business data and your use of the Service, (b) your violation of these Terms or of applicable law — including telemarketing, consumer-protection, call-recording, and privacy laws in connection with communications you originate through the Service — or (c) your products, services, and dealings with your own customers, crews, and vendors.

15. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or unlawful use. Upon termination, your right to use the Service ends; we will make your business data available for export for a reasonable period, after which it may be deleted in accordance with our retention practices.

16. Governing law and venue

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law principles. The state and federal courts located in Missouri will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.

17. General

These Terms, together with your order form or plan and our Privacy Policy, are the entire agreement between you and MetroScale regarding the Service. If any provision is held unenforceable, the remainder stays in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — survive. Legal notices to us must be sent to support@metroscale.io.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms here and update the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
